Sirius-XM Merger Gains Approval of FCC Majority, WSJ Reports

July 23 (Bloomberg) -- Sirius Satellite Radio Inc.'s purchase of XM Satellite Radio Holdings Inc. has won the approval of a majority of Federal Communications Commission members, the Wall Street Journal reported.

Republican Commissioner Deborah Taylor Tate will cast the deciding vote in exchange for an agreement that settles enforcement issues involving the companies and a $20 million fine, the Journal said on its Web site, citing an FCC official close to the deal. A 2-2 deadlock on the panel left the fate of the $3.5 billion deal in her hands.

The FCC is the last regulatory obstacle to the all-stock combination. Two Republican commissioners, Chairman Kevin Martin and Robert McDowell, have already backed the merger. Democrat Jonathan Adelstein, who voted against it today, said in an e- mailed statement the combination would create ``a monopoly with window dressing.'' Fellow Democrat Michael Copps also voted no.

``Commissioner Adelstein would only cast a dissenting vote once it was fairly clear that Commissioner Tate would support the deal,'' Paul Gallant, a former FCC official and Washington- based analyst with Stanford Washington Research Group, said in an interview. He continues to predict approval.

Commissioners, who face no deadline for a decision, vote electronically at the time of their choosing.

Traditional radio companies led by the National Association of Broadcasters oppose the merger, saying it will create a harmful monopoly. Sirius and XM, the only two pay-radio companies, told regulators their union would bring consumers more programming at a lower cost.

Sirius, XM's long wait may end soon as Federal Communications Commission decision nears

WASHINGTON (AP) -- Sirius Satellite Radio Inc.'s acquisition of rival XM Satellite Radio Holdings Inc. may be cleared by federal regulators this month, and it can't happen fast enough for XM.
As the regulatory review drags on, the company is struggling to add enough new listeners to cover its massive operating costs, and slumping automobile sales further dim future prospects. Analysts say lobbying by traditional broadcasters opposed to the deal is one reason the regulatory review is taking so long.



XM is struggling with higher borrowing costs and reported a wider loss in its most recent quarter. The company recently refinanced $400 million of its debt at a much higher interest rate and borrowed another $100 million just last month. That's on top of $1.6 billion in existing debt.

Both companies say they could continue to operate separately if the deal is shot down, but XM would likely face a much tougher time refinancing its debt on its own.

Approval of the transaction would be a defeat for the National Association of Broadcasters, which represents traditional radio stations and has lobbied heavily against the deal. But the NAB may take some satisfaction from delaying regulatory approval beyond what many analysts expected.

The National Radio Hall of Fame will induct "Focus on the Family"

Dr. James Dobson and the Colorado Springs-based media ministry "Focus on the Family" will be inducted into the National Radio Hall of Fame's Class of 2008, after besting fellow nominees Howard Stern, Dr. Laura Schlessinger and Bob Costas in national online balloting.

"Focus on the Family," aired by more than 3,000 North American stations and in 27 languages in 160 countries, is the first religious program to receive the honor, a venture of the Chicago-based Museum of Broadcast Communications since 1992.
Dobson joins past inductees such as Orson Welles, Jack Benny, Walter Winchell, Dick Clark, Bing Cosby, Paul Harvey and Rush Limbaugh.

Dobson declined to comment on beating out Stern and others, but he issued a statement saying he was pleased by the recognition for "a symphony performed by more than 10,000 people over the past 32 years."
The induction ceremony is set for Nov. 8.

Dobson was chosen in the "national active" category, which required a national broadcast contribution of at least 10 years.
Other 2008 inductees, the first class ever chosen through online voting, are: Art Bell, host of paranormal-themed Coast to Coast AM; Jess Cain, deceased, longtime Boston talk-show host; Howie Carr, outspoken northeastern conservative commentator; Dick Whittinghill, deceased, popular Los Angeles disc jockey; Bob Collins, or "Uncle Bobby," deceased, host of a highly rated Chicago morning show; Michael "Mickey" Luckoff, president of top San Francisco radio station KGO-AM; and Charlie Tuna, an LA fixture since 1967.

A frequent guest on the Howard Stern radio show was charged Friday with stealing more than $3,000 from a friend by putting unauthorized charges on his credit card.

Erik Bleaman, 37, of Manhattan, who is known as High Pitch for his falsetto voice, was released without bail after being charged with two counts of grand larceny.

Bleaman is accused of using his pal's Discover card multiple times between May 4 and June 15. A law enforcement source said the friend filed a complaint after learning that Bleaman's name was on an Amtrak ticket purchased with his card.

Artie, Jason, & Benjy Face Imminent Horrible Death!!!!

This is perhaps the most important and noble post I've ever written on this blog. In fact, the information I have to impart is so vital, I've bumped my sensational planned blog entry on Rae Stern so I may alert readers to the dangers facing our three beloved Stern Show fat fucks. My duties as a humanitarian demand no less -- I'm all about saving lives and helping people.

Recently I was on an elevator in New York City. As you know there are millions of elevators in the Big Apple, and most of them are in serious need of mechanical repair. Each year brings a flood of news reports detailing the latest elevator catastrophes. Therefore, when I read the weight capacity sign on the elevator I was immediately filled with a sense of impending doom. 

As we're all aware, Artie, Jason, and Benjy are disgustingly obese fat fucks. As a consequence of working together they frequently ride on the same elevator. Their combined weight easily exceeds 1/2 ton! Unfortunately, most elevators are not equipped to handle their load. This is a recipe for disaster, and having Cupcake Wednesday is only tempting fate.

Now, ordinarily I don't care what adults do. If they want to meet their connection in Wilmington, pick their feet in Poughkeepsie, and engage in other forms of abusive and self-destructive behavior, so be it. That's their right. But, as Howard Stern has said on-air, it's selfish for someone jumping out of a window to kill innocent passersby -- I wholeheartedly agree! Odds are, that when Artie, Jason, and Benjy plummet to their cupcake-deaths in an overloaded elevator they will be taking other innocent lives (maybe yours) with them. 

Imagine if you will, you're a hot, sweet, big-canned, pregnant, 19-year old, communications-major, co-ed, starting the first day or your Stern Show internship. You're all excited to get on the elevator with your hero Artie Lange, and his cellulite-triumvirate brethren, Jason, and Benjy. On the way up, Artie opens a take-out bag containing his bagel and cream cheese. As he bites into the bagel, crumbs cascading down his many chins, the elevator groans, comes to a stop, shakes violently, and then starts it's mad death-descent. How would you feel knowing that if someone had read this blog entry, contacted The Stern Show, and various appropriate government agencies, your promising young life, and that of your unborn mulatto love-child could have been spared?

Therefore, noble Stern Show fan and dedicated blog reader, in the name of everything that is holy, please spread the word, sound the alarm, and make it your mission to prevent Artie, Jason, & Benjy from riding on the same elevator. Or barring this, at least make sure they don't allow any innocent, and unsuspecting other riders (unless their Imus fans) to join them on their journey to the hereafter. Remember a cook can bake a cupcake, but only you can save a bunch of fat fucks from their just desserts. God bless you!
